1. Platform Description

Halo Health Inc. (“Halo”) operates a technology platform that connects patients with independent licensed healthcare providers for telehealth consultations, laboratory testing, and prescription management. Halo is not a healthcare provider and does not practice medicine. All clinical decisions, diagnoses, and prescriptions are made by independent licensed healthcare providers.

2. Eligibility

To use our Services, you must be at least 18 years of age, reside in a state where our Services are available, provide accurate and complete health information, and have the legal capacity to enter into a binding agreement. Services are currently available in select U.S. states. Availability may vary by program.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update your information as necessary. You must immediately notify Halo of any unauthorized use of your account.

4. Medical Disclaimer

The information provided on our website and through our Services is for informational purposes and does not constitute medical advice. You should not rely on this information as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. If you are experiencing a medical emergency, call 911 immediately.

5. Payment and Billing

By subscribing to a Halo program, you agree to pay the applicable monthly membership fee. Key terms include:

  • Monthly fees are billed automatically on a recurring basis.
  • Founding member rates are locked in for the duration of your active membership.
  • Membership fees include medications, lab panels, provider consultations, and shipping.
  • No refunds will be issued for partial months of service.
  • Prices are subject to change for new members. Existing members retain their locked-in rate.

6. Cancellation

You may cancel your membership at any time from your account dashboard. Cancellation takes effect at the end of your current billing cycle. There are no cancellation fees. If you cancel and later wish to rejoin, you will be subject to the pricing available at that time. Founding member rates are not guaranteed upon reactivation.

7. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our website and platform are owned by Halo Health Inc. or its licensors. You may not copy, reproduce, distribute, or create derivative works from any content without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, Halo Health Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of or inability to use our Services. Halo's total liability for all claims arising from or related to these Terms shall not exceed the total amount you paid to Halo in the twelve months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.
